Terms of Service

1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (the business entity or individual entering this agreement, “Customer” or “you”) and ZiggyTech Ventures LLC, a Nevada limited liability company with EIN 41-4738365 (“ZiggyTech,” “we,” “us,” or “our”).

By accessing, registering for, or using ZiggySchedule, you acknowledge that you have read, understood, and agree to be bound by these Terms and all policies incorporated herein by reference, including our Privacy Policy and Cookie Policy.

2. Description of Services

ZiggySchedule is an appointment booking and resource scheduling platform that enables businesses to manage client meetings, availability, and automated communications. The service includes booking pages, calendar management, automated email reminders, and rescheduling/cancellation flows.

3. Account Registration & Eligibility

You must be at least 18 years of age and have the legal capacity to enter into contracts to use our Services. Our Services are intended for business use and are not designed for personal, family, or household use.

You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. Notify us immediately at legal@ziggytechventures.com if you suspect unauthorized access.

4. Subscription & Billing

• Subscriptions are billed monthly or annually as selected at signup.
• Subscriptions automatically renew at the end of each billing period unless cancelled.
• Payments are processed securely via Stripe.
• ZiggyTech reserves the right to modify pricing with 30 days’ written notice to existing subscribers.
• Cancellation takes effect at the end of the current billing period.

5. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law or regulation
• Infringe intellectual property, privacy, or proprietary rights of any third party
• Transmit malware, viruses, or other malicious code
• Circumvent or disable security features or access controls
• Send unsolicited communications (spam) in violation of CAN-SPAM or similar laws
• Impersonate any person or entity
• Resell or sublicense access to the Services without written authorization

6. Your Data & Privacy

You retain all rights to the data you upload or create within the Services (“Customer Data”). You grant ZiggyTech a limited, non-exclusive license to process Customer Data solely to provide the Services.

As a data controller, you represent that you have obtained all necessary consents and legal bases required to provide personal data to ZiggyTech for processing, and that you have provided required privacy notices to your end users. See our Privacy Policy for details.

7. Electronic Records & Signatures

In accordance with the ESIGN Act and Nevada Revised Statutes Chapter 719, you agree that electronic signatures, contracts, and records created through our Services have the same legal effect as handwritten signatures and paper documents. You consent to conduct business electronically with ZiggyTech.

8. Intellectual Property

All intellectual property rights in the Services, including software, design, trademarks, and documentation, are and remain the exclusive property of ZiggyTech Ventures LLC or its licensors. Subject to your compliance with these Terms, ZiggyTech grants you a limited, non-exclusive, non-transferable license to access and use the Services during your subscription period for your internal business purposes.

9. Warranty Disclaimer

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR UNINTERRUPTED, ERROR-FREE OPERATION.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZIGGYTECH’S TOTAL CUMULATIVE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID BY YOU TO ZIGGYTECH IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) $100.00.

IN NO EVENT SHALL ZIGGYTECH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES.

11. Indemnification

You agree to defend, indemnify, and hold harmless ZiggyTech Ventures LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to your use of the Services in violation of these Terms, your violation of any applicable law, or Customer Data you upload.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Nevada, without regard to its conflict of laws principles. Any legal action shall be brought exclusively in the state or federal courts located in Clark County, Nevada.

Before filing any formal legal claim, the parties agree to attempt to resolve any dispute through 30 days of good faith negotiation followed by non-binding mediation.

ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. NEITHER PARTY MAY BRING CLAIMS IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

13. Changes to These Terms

ZiggyTech may update these Terms from time to time. We will provide 30 days’ advance notice of material changes via email or in-app notification. Your continued use of the Services after the effective date of revised Terms constitutes acceptance.
